Fanalysis TERMS OF USE

Introduction
The following document outlines the terms of use which apply to your access to and use of www.fanalysis.com  (the “Website”) and the Fanalysis Mobile App (“App“), and any other websites and/or mobile apps, or other related online products and services we may provide in the future, together, the “Services”) .

By using our Services you agree to all the Terms of Use below and to our App Code of Conduct.  These may change from time to time and your continued use of the Services shall constitute acceptance of our terms, so please do check for updates regularly. If there are significant changes, we will inform you of those by email or via the App.

Who are we?
The Services are owned and operated by Fanalysis Limited, incorporated and registered in England, whose registered office is at Regina House, 124 Finchley Road, London, NW3 5JS. Our Company registration number is 09072105.  You can contact us at hello@fanalysis.com.

Access to the Services

As at the date of these Terms, in order to use the App, you will first have to apply via our Website.  Once you have been approved,  you can download the App, select your Club, your Country, and add your phone number.  You will also be required to confirm that you accept our Terms of Use, Code of Conduct and Privacy Policy.

Once your account is set up, you will be able to choose an avatar and profile name on the App (your “Profile”). Bear in mind your profile name will be public and visible on the App so you may wish to choose something that is not your given name. In creating your avatar, you must comply with the Code of Conduct and please see the “Fanalyst Content” below for information about your and our rights in relation to avatars.

You must be over 16 and must not have been previously banned from using our App.

Your information and security
Any information which we hold in your account (including information which you add to your Profile) will be held in accordance with our Privacy Policy.  It explains the way in which we collect, use and share information about you when you use our Services and by using our Services, you consent to the terms of our Privacy Policy. 

By registering on the Website and/or App you undertake that all the details you provide to us are true, accurate, current and complete in all respects. You will receive a confirmation via email when your account is created.

You are responsible for maintaining the confidentiality of your login details and any activities that occur under your account. If you think your login details have been compromised please contact hello@fanalysis.com.

Suspension and Termination
Breach of the terms of these Terms of Use, our Code of Conduct or fraudulent/illegal activity while using our Services may result in our taking all or any of the following actions:

  • immediate, temporary or permanent withdrawal of your access to the Services;

  • issuing of a warning to you;

  • legal action against you including proceedings for reimbursement of all costs (including, but not limited to, reasonable administrative and legal costs) resulting from the breach;

  • disclosure of such information to law enforcement authorities as we reasonably feel is necessary.

The responses described in this section are not limited, and we may take any other action we reasonably deem appropriate.

Intellectual Property Rights
Fanalysis (including its logo) is a registered trademark in the UK, EU, and the United States. 

The Services may contain content including information, source code, data, software, text, links, graphics, photos, videos, audio or other materials, and may also include content posted or shared by you or through your Profile (see below for Fanalyst Content) and statistical data such as player and manager ratings, and other data submitted by you and other users via the App and aggregated by us (“Content”). The Content, including the style or presentation of such Content is protected by international copyright laws and treaties. All such rights are reserved. You may not copy, reproduce, republish, download, post, broadcast, transmit, make available to the public, or otherwise use any content on our Website or App in any way except for your own personal, non-commercial use. 

The Content may also contain intellectual property belonging to third parties such as Club trademarks (crests, logos etc), player and manager image rights and image rights from Premier League matches, and Content posted by other users of the Services. No licence is granted to you to reproduce copyrighted or trademarked material, whether our own or the property of third parties.  In compliance with the Digital Millennium Copyright Act (a US copyright law) (“DMCA”) and the EU Electronic Commerce Directive 2000,  we will remove anything which infringes third party intellectual property and if you see anything which you believe is an infringement of copyright (whether your own or otherwise), please let us know by contacting: hello@fanalysis.com.

Fanalyst Content
Any comments, likes, match, manager or player reviews, videos, photos, and other football-related content you share to the Services are owned by you (“Fanalyst Content”).  Fanalyst Content should be relevant to the App’s purpose. When you create Fanalyst Content (including any avatar you may use from time to time), you automatically grant us a worldwide, royalty-free, perpetual, non-exclusive, transferable and sub-licensable licence to use, reproduce, modify, publish, edit, translate, distribute, perform, and display such Fanalyst Content alone, or as part of other works, and whether linked to your Profile name or otherwise,  in all media, form, channels, or technology whether now known or later developed anywhere in the world. Any Fanalyst Content may be used by us and by our affiliates for any purpose without any compensation to you. This licence gives us the right to make your Fanalyst Content available for syndication, broadcast, distribution and/or publication by third parties that we may work with now or in the future for the purpose of providing the Services. You agree that we may use your Fanalyst Content to train AI and machine learning models.

You represent and warrant that:

  • you hold all necessary right, title and licence to any Fanalyst Content you post

  • you irrevocably waive any claims and assertions of moral rights and rights of attribution in relation to your Fanalyst Content (other than in relation to any visual likeness or recognisability which your avatar may represent and which you may have a legal right to assert if you are resident in certain jurisdictions) and agree that we may remove any metadata accordingly;

  • your submission of such Fanalyst Content to us does not and will not violate or infringe the rights of any person or third party, including copyright, trademark, privacy rights, or other intellectual property or proprietary rights;

  • the content is suitable for users aged 16 and over and does not contain nudity, graphic violence, or other age-inappropriate material;

  • the content was not recorded from within any Premier League football stadium, as such recordings are subject to Premier League copyright;

  • you have not copied photographs or other content from the internet or other sources;

  • you have not recorded or filmed streamed or broadcast content from television, computer screens, mobile devices, or other displays;

  • where the content contains personal data or personally identifies any individual, you have obtained their express consent for such upload and public display, or the content was captured in circumstances where those individuals would reasonably expect their image or information to be made public;

  • you will not upload any content that includes children under the age of 16 unless you have obtained express consent from their parent or guardian to do so; and

  • you shall not modify, rent, lease, sell copy or create derivative works from others’ Fanalyst Content without their express consent.

You are prohibited from posting any Fanalyst Content which is or could be perceived to be unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, sexually explicit, profane, hateful, racially, ethnically, or otherwise objectionable in any way, including content that encourages or promotes terrorism, child sexual exploitation and abuse, suicide, self-harm, eating disorders, or violence, and including without limitation, Fanalyst Content which would constitute a criminal offence, give rise to civil liability or otherwise contravene any applicable law. You acknowledge that we conduct risk assessments and implement systems and processes designed to support compliance with online safety requirements, including measures to identify and remove illegal content and protect users from harm. We may use automated systems, algorithms, and human moderation to review content.

You must report any content that you believe violates these terms or applicable law using our reporting mechanisms. We are committed to responding promptly to reports of illegal content and content that may harm children.

Copyright Reporting and Counter-Notice: If you believe content on the App infringes your copyright, you may report it by emailing us at hello@fanalysis.com. If your uploaded content is removed following a copyright claim and you believe the removal was made in error because you own the rights to the content, you may submit a counter-notice through the same process to request restoration of your content.

We reserve the right to remove Fanalyst Content at any time at our sole discretion. We reserve the right to terminate your account for repeated violations of these content guidelines.

Once Fanalyst Content has been made public via your Profile, we cannot control (and will not be liable for) what others may use it for, so please exercise discretion. It is your responsibility to ensure that you exercise caution when providing any personal information about yourself or your children. Our Services are for personal use only - do not use them for posting advertising (whether your own or third party) or links to other apps or websites without our express consent.

If you are concerned about any Fanalyst Content on the App, please contact hello@fanalysis.com.

Account/Profile Deletion
If you want to delete your Profile (and other personal data)  at any time, please contact us at hello@fanalysis.com. Your Fanalyst Content will remain on our App, but we will remove your Profile name (and other personal data) if you request it.

Please note that if you delete the App yourself from your device, your Fanalyst Content and Profile name will continue to be visible.  For more information on how we treat your personal data or your rights to erasure please see our Privacy Policy. 

Third-Party Content (including advertisements)
We are not responsible for the content of websites, resources, products or services provided by third parties. Where our Services contain links to third party content, these links are for you to access at your sole discretion and risk. We have no control over the contents of those websites or resources, and accept no responsibility for them or for any loss or damage that may arise.

Prohibited Actions
In addition to those things set out in these Terms of Use, and our Code of Conduct, you must not do, or attempt to do any of the following:

  • upload viruses, worms, malicious code or do anything else that could disrupt, overburden, interfere with or impair the Services or the security of the Services;

  • access anyone else’s account, or access the back-end systems and networks that support the provision of the Services;

  • use the Services in any way which could constitute fraud on Fanalysis, its users or any third party;

  • access or collect data from the Services by automated or other means, without our express written consent in advance.

Limitation of Liability and Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK.

To the extent permitted by applicable law, neither Fanalysis, nor its affiliates, directors, employees or contractors, shall be liable for any loss of profits, revenue, business, goodwill, indirect loss or consequential loss arising from or in any way connected with the use or content of the Services, any delay or inability to use the Services or otherwise in connection with the Services, whether based on contract, tort, strict liability or otherwise. Subject to applicable law, we shall not be liable for any of the matters in the following non-exhaustive list: mistakes, omissions, interruptions, deletion of files or emails, errors, viruses, delays in operation or any failures of performance, whether or not resulting from natural acts, communications issues, theft, destruction, or unauthorised access to our products and services and records.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FANALYSIS'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OF USE OR THE SERVICES EXCEED ONE HUNDRED US DOLLARS (US$100) OR THE EQUIVALENT IN YOUR LOCAL CURRENCY.

We disclaim warranties of any kind in relation to the Services, either expressed or implied. No oral advice, written or electronically transmitted information given by us, our affiliates, directors, employees or contractors, shall create any warranty under any circumstance.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES OR LIMITATION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. IN SUCH JURISDICTIONS, THE LIMITATIONS SET FORTH ABOVE SHALL APPLY ONLY TO THE GREATEST EXTENT PERMITTED BY APPLICABLE LAW.

For the avoidance of doubt, nothing in these Terms of Use seeks to exclude or limit our liability for death or personal injury arising from our negligence, or our liability for fraudulent misrepresentation or misrepresentation as to a fundamental matter, or any other liability which cannot be excluded or limited under applicable law. In such case these Terms of Use shall be read as closely as possible to their current wording notwithstanding the prohibition of such terms.

Indemnity
To the fullest extent permitted by applicable law, you agree to fully indemnify, defend, and hold harmless Fanalysis, its officers, directors, employees, agents, distributors, vendors, affiliates, successors and assigns from and against any and all third party claims, demands, liabilities, costs or expenses (including reasonable legal fees) resulting from your breach of any of these Terms of Use or our Code of Conduct, including but not limited to, any allegations, damages or claims relating to any of your Fanalyst Content and/or Profile, or for infringement or violation of any third-party rights.

Certain jurisdictions limit or prohibit indemnification obligations in consumer contracts. In such jurisdictions, your indemnification obligation shall apply only to the extent permitted by applicable law.

Survival
Each provision of the Terms of Use shall be construed as separately applying and surviving even if for any reason one or other of those provisions is held to be inapplicable or unenforceable in any circumstances.

Additional Terms for United States Residents

The following additional terms apply if you are a resident of the United States:

Arbitration Agreement and Class Action Waiver. You agree that any dispute, claim, or controversy arising out of or relating to these Terms of Use or the Services shall be resolved by binding arbitration administered by the American Arbitration Association in accordance with its Consumer Arbitration Rules, rather than in court. You and Fanalysis agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding. Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes within that court's jurisdiction.

California Residents. If you are a California resident, in accordance with California Civil Code Section 1789.3, you may report complaints to the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs by contacting them in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.

Additional Terms for Canadian Residents

The following additional terms apply if you are a resident of Canada:

Quebec Residents. If you are a resident of Quebec, certain provisions of these Terms of Use may not apply to you to the extent they are inconsistent with the mandatory consumer protection laws of Quebec, including the Consumer Protection Act (Quebec). In such cases, the laws of Quebec shall govern those provisions.

Jurisdiction. Notwithstanding the Jurisdiction and Applicable Law section below, if you are a Canadian resident, you may bring claims against Fanalysis in the courts of your province of residence, and the laws of that province shall apply to such claims to the extent required by applicable consumer protection legislation.

Electronic Communications. By using the Services, you consent to receiving electronic communications from Fanalysis, including service-related messages and, where you have opted in, promotional communications. You may withdraw your consent to receive commercial electronic messages at any time by following the unsubscribe instructions in any message or by contacting us at hello@fanalysis.com.

Jurisdiction and Applicable Law
Except to the extent that you exercise your right as a consumer to bring an action in or rely on the laws of your country (or State, as applicable) of domicile, and except as otherwise provided in the Additional Terms for United States Residents and Additional Terms for Canadian Residents above, the interpretation, construction, effect and enforceability of these terms of use shall be governed by the law of England and Wales, and you and we agree to submit to the exclusive jurisdiction of English courts for the determination of disputes.
